recollection: The first draft of the new bylaws did -not- specify that voting
members needed to be citizens. But when the draft was presented to the Board,
there were a few directors who expressed concern that if non-USA citizens
were allowed to vote, it was theoretically possible that hoards of foreigners
could buy memberships and possibly affect the AERC adversely. So wwhen
the draft went back to the drawing board it came back with several changes
and improvements, and also contained the citizenship stipulation. When the Board
eventually voted to accept the new bylaws, they were presented as an entire
document for a single yes/no vote - rather than individual sections and
articles. At that point we felt that the document was pretty much ready to
go, it was being recommended by Legal/Bylaws committees, and that if issues did
arise, they could be dealt with - so most of us voted yes. This issue did arise,
and it is being dealt with. We just need to make sure that there are enough
votes to validate the process. So vote!
