The 301 is a major upgrade with more bells and whistles, including the heart rate functionality, custom and schedulable workouts, USB connectivity, enhanced trackpoint management, route support, and better PC software. I'm sure I'm missing some, but those are the differences I can think of right off-hand. If all you want is a good GPS unit to show you speed/distance, etc, the 201 _is_ an excellent choice, especially at $113 shipped from Amazon.com. I own a 201 and used it all last year.
