I would be very concerned about a foal whose mother was in the condition you
describe. Instead of worrying about papers and selling, I would be making
sure the mare is given the proper nutrition to offset long term effects that
her deprivation might have caused in the unborn baby. I question any breeder
who would resell a mare without having her totally checked out beforehand,
especially if she was returned in poor condition.  And once having sold her,
the papers on the baby should be yours without cost.
