Randy, I don't see where Teddy and Kat are "adamantly against" the change in
the Articles of Incorporation. What they are against is simply making a
change as a knee-jerk reaction to statements made by the IRS. The question
which still remains unanswered is this: HAS THE AERC BOARD CONTACTED AN
ATTORNEY IN THE FIELD OF TAX LAW AND GOTTEN SOME DIRECTION IN THIS MATTER? I
gather from all the circumlocution that the answer to that question may well
be NO.
You may very well be right that this is something that we need to vote in, but
I would sure as heck feel a lot more comfortable about doing so if there was
some legal advice from OUR corner indicating that this is the way we need to
go. Tax law is a pretty specialized area, and I don't mean to offend the
various attorneys on the Board, but unless they practice in the field of tax
law, relying on their opinions on this matter is about like having a feline
ophthamologist vet a ride. (Or worse yet, having me try to practice
ophthamology!) This seems like a simple problem. Surely the Board could see
its way clear to seek proper advice and then let the membership know what that
advice is.
